1.2 Service Description
Platform provides cloud-hosted, subscription-based software for visualization, storage, downloading, and management of sensor and manually collected field data transferred from project specific in-situ data acquisition hardware components or manual sources.
1.3 Third-Party Infrastructure
Data hosting and data storage occurs on third-party servers and cloud infrastructure. The geographic location of physical servers is not guaranteed and may change at provider’s discretion. Geodestek bears no liability for such geographic changes.
2. Access, Accounts & Credentials
2.1 Client Administrator
Each project is managed via a single designated administrator email; that individual controls assignment or modification of user credentials. Assignment of a Client Administrator is managed via direct communication of the end user with Geodestek.
2.2 Credential Security
Authorized Users must maintain confidentiality of usernames and passwords. All activity under a user's credentials is attributable to that user. Geodestek disclaims responsibility for unauthorized access resulting from credential compromise.
2.3 Account Termination
Geodestek reserves the right to suspend or terminate access without notice if misuse or violation of the Terms of Use is suspected. Users agree not to engage in any activity that disrupts the functionality of our website or services. Prohibited activities include hacking, data scraping, or any action that may compromise our systems.
3. Data Security, Integrity & Confidentiality
3.1 Data Ownership
All Raw and Processed Data is the exclusive property of the Client. Geodestek possesses no ownership rights.
3.2 Confidentiality
Geodestek shall not disclose or share client data except to the extent necessary with its third-party infrastructure providers, and subject to confidentiality obligations. Data is not shared with demo users, social media, or public forums.
3.3 Backup and Access Rights
Geodestek reserves the right to retain copies of Raw and Processed Data as a secondary, internal backup for operational continuity. Geodestek shall not modify any Raw Data. Use of data for anonymized analytics or "big data" processing is permitted only in a manner that does not identify any individual client or project. The Service can be used by engineering companies that share access to their own projects with third parties. You are responsible for managing such access and ensuring compliance with these Terms.
3.4 Contradicting Terms Consideration
Clients may opt out of backup access or require deletion after termination—but Geodestek may reserve rights to retain metadata or anonymized aggregate data.
3.5 Data Security Measures
Geodestek shall implement reasonable technical and administrative safeguards, in line with industry norms, to protect data from unauthorized access, alteration, or destruction, acknowledging no method is fully impregnable.
4. Client Responsibilities & Limitations of Liability
4.1 Backup by Client
Clients must regularly export and backup their data; Geodestek only provides data-export functionality. Loss due to hardware failure, signal interruption, power outage, project-site device malfunction, or hosting provider downtime is the sole responsibility of the Client.
4.2 Disclaimer of Warranties
The Platform is provided “as is” and “as available”, without warranties of accuracy, timeliness, fitness for a particular purpose, or continuity. The service does not intend to replace professional judgment, physical inspections, or other industry-standard practices and safety measures. Thus, Geodestek is not liable for any consequences resulting from decisions made or actions taken based on data or information provided by our Service. The Service should be used in conjunction with other tools, methodologies, and expert assessments appropriate to the user's specific industry and application.
4.3 Limitation of Liability
Geodestek (and its affiliates, officers, directors) shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or loss of data. Users are responsible for implementing appropriate redundancies, safety protocols, and decision-making processes in addition to our Service, particularly in applications where data accuracy and system reliability are crucial. Geodestek’s total liability is capped at the aggregate subscription fees paid by the Client in the preceding 12 months.
4.4 Use Risk Acknowledgement
The Client acknowledges that decisions based on Platform data are their responsibility. Geodestek is not liable for decisions made based on Platform output.
5. Data Use for Internal Analytics
5.1 Anonymized Analytics
Geodestek may use anonymized, aggregated data across clients to refine the Platform and conduct internal “big data” analytics, provided it does not disclose identifiable data.
5.2 Client Objection
Clients may object to such use in writing, in which case Geodestek shall exclude their data from such datasets.
6. Service Levels & Support
6.1 Support Process
Clients must submit technical support requests via the project’s administrator email.
6.2 Response Time
Geodestek will respond and/or act within the timeframe specified in the purchased package (e.g. 24-hour, 72-hour, or next-business-day response).
6.3 Exclusions
Support does not include data recovery in case of client’s hardware or infrastructure failure.
7. Subscription, Data Retention & Termination
7.1 Subscription Period
Data storage duration (“temporal presence”) varies by Service Package (e.g. Basic: 6 months, Premium: 2 years, Enterprise: indefinitely) — to be detailed in the contract.
7.2 Termination and Data Deletion
Upon termination, Geodestek may delete Raw and Processed Data after a cooling-off period unless otherwise agreed. Clients may request export at termination.
7.3 Server Location Mobility
Geodestek may migrate servers or change hosting provider without notice; clients bear no right to require data remain in a specific locality. Currently, our data is stored on servers located in the USA or Europe.
8. Intellectual Property & Usage Restrictions
8.1 Platform IP
All software, interface, design, and documentation remains the intellectual property of Geodestek.
8.2 Prohibited Uses
Clients may not reverse engineer, decompile, modify, nor resell or sublicence the Platform or its components.
9. Governing Law, Dispute Resolution & Notices
9.1 Governing Law
These Terms are governed by the laws of Türkiye. Any dispute shall be resolved exclusively by Turkish courts unless arbitration is agreed.
9.2 Notices
Official notices and support communications addressed to Geodestek shall be sent to geoants@geodestek.com and to the registered office at Kızılcaşar Mah, İncek Köy Sitesi, No. 28, İncek, Gölbaşı, Ankara, Türkiye.
10. Privacy Policy & Data Subject Rights
10.1 Data Subject Objection and Consent Forms
Forms for consent to receive marketing materials and objection to internal non-identifiable analytics are supplied as complementary, yet exclusive material to this document.
10.2 Personal Data Handling
If personal data (e.g. names/emails of Authorized Users) are processed for marketing, legal basis (consent or legitimate interest) must be documented; data may be stored only as long as necessary, and recipients must be limited to third-party email processors bound by confidentiality.
10.3 International Transfers
Because infrastructure providers may process data outside Türkiye, Geodestek will comply with applicable Turkish data protection law, and inform Clients of jurisdictions used, allowing objection.
11. Changes to Terms
Geodestek may modify these Terms at any time. Changes are effective immediately upon posting to our website. For significant changes, we will attempt to notify you via email. Continued use of our Service after changes constitutes acceptance of the modified Terms. It is your responsibility to regularly review these Terms.
